Terms and Conditions: What You Need to Know

Welcome to ELD Hub. By using our app, website, or any services provided by ELD Hub (“Services”), you agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use our Services.

To use ELD Hub, you must be at least 18 years old and have the legal capacity to enter into a binding contract. By using our Services, you confirm that you meet these requirements.

ELD Hub provides an all-in-one platform for small trucking companies, including but not limited to ELD compliance, fuel card programs, freight factoring, commercial insurance, fuel savings tools, and support services. The specific features available to you may vary depending on your subscription or user level. We reserve the right to expand or modify the Services at our discretion.

To access certain features of our Services, you may need to create an account. You agree to:
•Provide accurate and complete information when creating an account.
• Keep your account credentials secure and notify us immediately of any unauthorized use.
• Accept responsibility for all activities that occur under your account.

Certain Services offered by ELD Hub require payment, including but not limited to subscriptions, usage-based charges, and add-on services such as fuel card programs, insurance products, or factoring services. By enrolling in any paid Service, you agree to the applicable pricing, billing terms, and payment schedule. You authorize ELD Hub to charge your provided payment method(s) on a recurring basis, whether monthly, annually, or based on usage, until you cancel in accordance with these Terms. You further authorize ELD Hub to: Charge your card, ACH, or any other payment method provided, automatically and without prior notice, for each billing cycle Retry failed payments or declined charges using the same or alternate payment methods on file. Use third-party payment processors to securely store and process your payment details. Initiate payments or debits at any time necessary to recover any outstanding balances or fees. Send unpaid balances to collections or pursue legal action in the event of non-payment. You represent and warrant that you are authorized to use the payment method(s) provided and will maintain accurate and up-to-date billing information at all times. You agree not to dispute charges with your financial institution without first attempting to resolve the issue with ELD Hub. Fees and payment terms may change at our discretion. We will provide notice of any material changes. Your continued use of paid Services after such notice constitutes acceptance of the updated terms. You may cancel your subscription at any time; however, all fees are non-refundable unless expressly stated otherwise by ELD Hub in writing.

You agree to use ELD Hub’s Services in compliance with all applicable laws and not to:
• Misuse our Services, including by reverse engineering, tampering, or exploiting any portion of our Services.

• Upload any harmful content, including viruses or other malicious code.

• Violate any third-party rights or interfere with others’ use of the Services.

All content, features, and functionality in our Services, including text, graphics, logos, software, and proprietary algorithms, are the property of ELD Hub or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our prior written permission.

Our use of personal data is governed by our separate Privacy Policy. By using our Services, you agree to the collection, processing, and sharing of your data as outlined in that policy. Additionally, by using the Services, you agree and grant us permission to collect, analyze, and use operational data—including but not limited to GPS location, driving behavior, fuel purchases, and usage history—for: Improving and training our internal systems and AI models. Enhancing user experience and safety. Developing new features and predictive insights. Providing you with data-driven savings and risk evaluations. We may share anonymized or aggregated data with trusted partners to improve service quality and access to offers. We do not sell personally identifiable data to unaffiliated third parties.

ELD Hub provides its Services “as-is” and “as-available,” without warranties of any kind, either express or implied. We do not guarantee that our Services will be uninterrupted, error-free, or free from harmful components. ELD Hub is not responsible for any damages that result from your use of our Services, including reliance on outputs from AI-driven features.

To the fullest extent permitted by law, ELD Hub, its affiliates, directors, employees, and agents will not be liable for any indirect, incidental, or consequential damages, including lost profits, arising out of or related to your use of our Services. Our total liability will not exceed the amount you paid to ELD Hub in the twelve (12) months prior to the claim.

You agree to indemnify, defend, and hold harmless ELD Hub and its affiliates from any claims, damages, losses, or expenses, including legal fees, arising out of or related to your use of our Services, your violation of these Terms, or infringement of any third-party rights.

We reserve the right to update, modify, or discontinue any part of the Services at any time, with or without notice, and without liability to you or any third party. We may also revise these Terms at our sole discretion at any time. Any changes to the Terms become effective immediately upon posting on our website or platform, and we are not obligated to provide direct notification to users regarding such changes. It is your responsibility to review the Terms periodically for updates. Your continued use of the Services after any modifications constitutes your full acceptance of the revised Terms, regardless of whether you have reviewed them.

ELD Hub may suspend or terminate your access to our Services at any time, with or without cause, without liability. You may also terminate your use of our Services at any time by closing your account. Upon termination, all rights and licenses granted to you will cease immediately.

These Terms are governed by the laws of Delaware, United States of America, without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of the Services will be resolved in the courts of Delaware, United States of America.
